These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Learnzy ("Company," "we," "us," or "our") governing your access to and use of the Learnzy mobile application and related services (collectively, the "Service").

By accessing, downloading, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our Service.

2. Service Description

Learnzy is an artificial intelligence-powered educational platform that provides personalized learning experiences. Our Service includes, but is not limited to:

• AI-powered educational assistance and content generation
• Personalized learning pathways and adaptive curriculum
• Interactive assessments, quizzes, and progress tracking
• Achievement systems, streaks, and gamification features
• Educational content across multiple subjects and skill levels
• Audio content, podcasts, and multimedia learning materials

3. Eligibility and Account Registration

3.1 Age Requirements

You must be at least 13 years of age to use our Service. Users under 18 require parental or guardian consent. By using our Service, you represent and warrant that you meet these age requirements.

3.2 Account Responsibilities

When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain the security and confidentiality of your login credentials
• Notify us immediately of any unauthorized access to your account

5. Subscription Plans and Billing

5.1 Service Tiers

We offer both free and premium subscription tiers:

• Free Tier: Limited access to basic features and content
• Premium Subscription: Full access to all features, unlimited AI interactions, and advanced learning tools

5.2 Payment Terms

• All payments are processed through authorized third-party payment processors
• Subscription fees are charged in advance on a recurring basis
• You authorize us to charge your selected payment method for applicable fees
• Prices are subject to change with 30 days' advance notice

5.3 Automatic Renewal and Cancellation

• Subscriptions automatically renew unless cancelled before the renewal date
• You may cancel your subscription through your app store account settings
• Cancellation takes effect at the end of the current billing period
• No partial refunds are provided for unused portions of subscription periods

5.4 Refunds and Payment Processing

Important Notice: We do not handle payment processing or refund requests directly. All payments and subscription management are processed through Apple's App Store.

• All payment transactions are handled exclusively by Apple through the App Store
• Refund requests must be submitted directly to Apple through their official channels
• We do not have the ability to process refunds or modify subscription billing
• Apple's Terms of Service and refund policies apply to all transactions
• For billing issues, contact Apple Support directly through the App Store

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Service and all its content, features, and functionality are owned by Learnzy and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. This includes:

• Software code, algorithms, and AI models
• Educational content, curricula, and learning materials
• Trademarks, logos, and brand elements
• User interface design and user experience elements

6.2 User-Generated Content

You retain ownership of content you create or submit to the Service. However, by submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, modify, and distribute such content for the purpose of providing and improving our Service.

7. AI-Generated Content and Accuracy

Our Service utilizes artificial intelligence to generate educational content and responses. While we strive for accuracy, AI-generated content may contain errors, inconsistencies, or outdated information. We recommend verifying important information through additional sources. We do not guarantee the accuracy, completeness, or reliability of AI-generated content.

8. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Service, you consent to the collection and use of your information as described in our Privacy Policy.

9. Disclaimers and Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties regarding the accuracy, reliability, or completeness of content
• Warranties that the Service will be uninterrupted, secure, or error-free
• Warranties regarding educational outcomes or learning effectiveness

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LEARNZY, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Learnzy and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Service Modifications and Termination

12.1 Service Changes

We reserve the right to modify, suspend, or discontinue any aspect of our Service at any time, with or without notice. We may also impose limits on certain features or restrict access to parts or all of the Service.

12.2 Account Termination

• You may terminate your account at any time through the Service settings
• We may suspend or terminate your account for violation of these Terms
• Upon termination, your access to the Service will cease immediately

These Terms and any disputes arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall be conducted in Delaware, and judgment on the arbitration award may be entered in any court having jurisdiction thereof.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the use of our Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

14.3 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

We reserve the right to modify these Terms at any time. We will notify you of material changes through the Service or via email at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
